Some how I have a situation where I open VS2003 or 2005, disable VA, exit Visual Studio (I had 1 open) Open it again... VA is not re-enabled.

I have a file (sent to support) that I can not edit because it hangs the parser; now I cannot even edit it when VA is disabled because when I drag the file onto the IDE, it also re-enables itself and hangs

We sent a workaround for the problem with the hang. Using the workaround, are you still having trouble with enable/disable of VA X. We suspect the hang prevented the registry from getting saved, hence the inability of the IDE to restore the proper state.

How are you disabling VA? The enable/disable menu item on the VAssistX menu does not cause a state change that is retained after exiting the IDE; that is, even if you disable VA, once you restart the IDE, VA is enabled (if using the VAssistX menu). The IDE Addin Manager would be a bit of a different matter.
